.      ARTICLE VI – BOARD OF DIRECTORS

SECTION 1. COMPOSITION AND RESPONSIBILITIES

A.          The Board shall be at least six in number and shall consist of: the President, Vice President, Past-President, Secretary, Treasurer (each, an “Officer”) and the Library Director, subject to Section (1)(C) below, one representative nominated by the Lillius Grace Institute pursuant to Section 2 below, and other Directors elected pursuant to Section 2 below.

B.         The primary functions and responsibilities of each Officer's position shall be documented in the corporate records.

C.         The Library Director is a fully participating but non-voting member of the Board and attends all meetings except executive sessions.

D.         The Volunteer Coordinator is a fully participating and voting member of the Board and attends all meetings.

E.          The Board is vested with the management of the affairs of the Library and has the authority to take the actions necessary to meet its responsibilities and accomplish the objectives of the Library as defined by law, its Articles of Incorporation and these Bylaws.
